Welcome to Kextant™ ("we," "us," "our"). By accessing or using the Kextant website at kextant.ai (the "Site") and any related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, do not use the Site.

1. Acceptance of Terms

By using the Site, submitting the early access form, or contacting us through the contact form, you confirm that you are at least 18 years of age and that you agree to comply with and be bound by these Terms, as well as our Privacy Policy.

2. Description of Service

Kextant is an AI-powered investment research and analysis platform currently in development. The Site provides information about the platform, an early access sign-up form, and a contact form. Access to the full platform is not yet publicly available.

3. NOT Investment Advice

Kextant is NOT a registered investment advisor, broker-dealer, financial planner, or fiduciary, and does NOT provide investment advice, financial advice, tax advice, or legal advice of any kind.

All content, MDIS scores, analyses, projections, reports, decision documents, and all other outputs produced by the platform or displayed on the Site are for educational and informational purposes only. They do not constitute, and should not be construed as, investment recommendations, solicitations to buy or sell securities, or personalized financial guidance.

You should always consult with a qualified, licensed stockbroker, registered investment advisor, certified financial planner, tax professional, or other appropriate financial expert before making any investment decisions. • Any analysis, score, projection, or output is accurate, complete, reliable, or timely
• The platform's methodologies will perform consistently or predictably under any market conditions
• Historical patterns, backtests, or past results are indicative of future performance
• Any particular investment strategy or framework will achieve its stated or intended objectives

When you submit information through the early access sign-up or contact form, you agree to provide accurate and current information. We will use your submitted information only as described in our Privacy Policy.

10. Prohibited Uses

You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to any portion of the Site or its systems
• Interfere with or disrupt the Site or the servers/networks connected to the Site
• Submit false, misleading, or fraudulent information through any form
• Use automated scripts, bots, or scraping tools to access the Site
• Reverse engineer, decompile, or attempt to extract the source code of any software

10. Disclaimer of Warranties

THE SITE, THE PLATFORM, AND ALL CONTENT, SCORES, ANALYSES, OUTPUTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM KEXTANT OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOHN KIRKER INC. (DBA KEXTANT), ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR INVESTMENT LOSSES
• ANY FINANCIAL LOSSES RESULTING FROM INVESTMENT DECISIONS MADE USING OR INFLUENCED BY THE PLATFORM'S OUTPUTS
• ANY DAMAGES ARISING FROM RELIANCE ON ANY ANALYSIS, SCORE, PROJECTION, OR CONTENT
• ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR ANY CONTENT

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU ACTUALLY PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Assumption of Risk

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SITE AND THE PLATFORM IS AT YOUR SOLE RISK. You assume full responsibility for all investment decisions you make, whether or not influenced by information obtained through Kextant. You understand that investing in securities, options, derivatives, and other financial instruments involves inherent risks, including the possible loss of your entire investment.

13. Indemnification

You agree to indemnify and hold harmless eXpertFoundry, Inc. (DBA Kextant), its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Site or violation of these Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, California.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and eXpertFoundry, Inc. (DBA Kextant) regarding your use of the Site, superseding any prior agreements.

17. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
